Report on the Review of the Company’s 2012 Annual Report
Dear Shareholders:
In accordance with the Requirements of the Guidelines for the Articles of Association of Listed Companies (Revised in 2006), the Company’s annual report must be submitted to the Shareholders’ Meeting for review and approval.
The full text of the Company’s 2012 Annual Report was published on the Cninfo website on April 20, 2013, and will not be read out at this meeting.
The following statement is made with respect to the Company’s 2012 Annual Report:
1. Basis for Preparation: This report has been prepared in accordance with the “Rules on the Content and Format of Information Disclosure by Companies Issuing Securities to the Public, No. 2—Content and Format of Annual Reports (Revised in 2012)” issued by the China Securities Regulatory Commission.
2. Main Content: A comprehensive and objective presentation is provided of material information pertaining to the Company’s financial condition, operating performance, shareholder composition, board members, supervisors, senior management and employees, corporate governance, internal controls, and other key areas for the reporting year. Specifically, the Board of Directors’ report was deliberated as a separate agenda item at this meeting; the financial report has been audited by the accounting firm engaged by the Company and received an unqualified audit opinion.
