Announcement of Resolutions Adopted at the Second Session of the Third Supervisory Board

On August 15, 2001, the Third Session of the Supervisory Board of Dalian Refrigeration Co., Ltd. (“the Company”) convened its second meeting in the Company’s fifth-floor conference room. All three supervisors attended the meeting, which was chaired by Mr. Yu Fuchun, Chairman of the Supervisory Board. The following resolutions were reviewed and adopted at this meeting:

I. The Company’s 2001 Interim Report and Its Summary.

II. The Company’s 2001 Interim Profit Distribution Plan: No profit distribution will be made, nor will any capital reserve be capitalized to increase share capital.

III. The Company’s Board of Directors’ resolution to amend and supplement the “Accounting and Treatment of Provisions for Impairment of Company Assets” is fully supported by sufficient rationale and complies with all applicable legal procedures.
