1. Notice of this Board of Directors meeting was served in writing on October 19, 2016.
2. This board meeting was held on October 26, 2016, by way of written resolution.
3. Nine directors were expected to attend; all nine directors attended.
4. The convening of this board meeting complies with the provisions of applicable laws, administrative regulations, departmental rules, normative documents, and the Company’s Articles of Association.

1. The Company’s Third Quarter Report for 2016.

2. Report on the Disposal of Certain Available-for-Sale Financial Assets.
Agree that, prior to June 30, 2017, the Company may, through the Shanghai Stock Exchange trading system, opportunistically sell no more than 3 million shares of Guotai Junan Securities.
