		I. Status of Board Meetings 
 
		1. Notice of this Board of Directors meeting was served in writing on October 17, 2012. 
 
		2. This board meeting was convened by facsimile on October 22, 2012. 
 
		3. Nine directors were required to vote, and all nine directors actually voted. 
 
		4. The convening of this board meeting complies with the provisions of applicable laws, administrative regulations, departmental rules, normative documents, and the Company’s Articles of Association. 
 
		II. Review of the Board Meeting 
 
		1. The Company’s Third Quarter 2012 Quarterly Report. 
 
		Approval: 9 votes; Opposition: 0 votes; Abstention: 0 votes. 
 
		2. Report on the Write-Off of Doubtful Accounts Receivable and Other Receivables. 
 
		Approve the write-off of long-outstanding accounts receivable totaling RMB 300,255.63 by the Company’s subsidiary, Wuhan New World Refrigeration Industry Co., Ltd.; and approve the write-off of long-outstanding accounts receivable amounting to RMB 386,120.11 and other receivables totaling RMB 22,037.00 by the Company’s grandchild company, Ningbo Bingshan Refrigeration & Air-Conditioning Engineering Co., Ltd. 
 
		The aforementioned write-off amounts have been disclosed in the Company’s 2012 Semi-Annual Financial Report. 
 
		Approval: 9 votes; Opposition: 0 votes; Abstention: 0 votes.
