The Company and all members of the Board of Directors hereby certify that the contents of this announcement are true, accurate, and complete, and that there are no false records, misleading statements, or material omissions.

 
		The 15th meeting of the 5th Board of Directors of Dalian Refrigeration Co., Ltd. (“the Company”) was held by facsimile on March 29, 2012. Nine directors were entitled to vote, and all nine directors participated in the voting. The notice of and the convening of the meeting complied with the Company Law, the Company’s Articles of Association, and other relevant provisions. At this meeting, the report on the provision for inventory write-downs for the year 2011 was reviewed and approved. 
 
		Due to the company’s technological upgrade and renovation, inventory consisting of products and raw materials manufactured in accordance with the old pressure vessel standards is now unusable and unsaleable; furthermore, contracts for non-standard products that were canceled in 2011 due to customer reasons are also unable to be directly used or sold. According to the company’s calculations, the cost of the aforementioned inventory exceeds its net realizable value by RMB 13,128,181.70. In accordance with the Enterprise Accounting Standards and the company’s accounting policies regarding the provision for inventory write-downs, the company proposes to make a provision for inventory write-downs of RMB 13,128,181.70 for the year 2011. This write-down provision has been recognized in the current period’s profit or loss for 2011 and has no impact on the company’s previously published 2011 financial statements.
