The 12th meeting of the 5th Board of Directors of Dalian Refrigeration Co., Ltd. (“the Company”) was held by facsimile on August 23, 2011. Nine directors were entitled to vote, and all nine directors participated in the voting, thereby satisfying the quorum requirements stipulated by the Company Law and the Company’s Articles of Association. At this meeting, the Company’s 2011 Semi-Annual Report and its Summary were reviewed and approved.
