Announcement of Resolutions Adopted at the First Meeting of the Fourth Session of the Board of Directors

The Company and all members of the Board of Directors hereby guarantee the truthfulness, accuracy, and completeness of the contents of this announcement and shall bear joint and several liability for any false records, misleading statements, or material omissions in the announcement.

The First Meeting of the Fourth Session of the Board of Directors of Dalian Refrigeration Co., Ltd. (“the Company”) was held on June 3, 2004, in the Company’s Eighth-Floor Conference Room. All nine directors attended the meeting, thereby satisfying the statutory quorum required under the Company Law and the Company’s Articles of Association. The following resolutions were reviewed and adopted at this meeting:

I. Elect Mr. Zhang He as Chairman of the Company and Mr. Mu Chuanjiang as Vice Chairman of the Company.

II. Mr. Zhang He concurrently serves as the Company’s General Manager.

III. Appoint Mr. Yang Bin as the Company’s Executive Deputy General Manager.

IV. Appoint Mr. Zhang Hongzhi, Mr. Wang Dekun, Mr. Wang Zhiqiang, and Mr. Hu Xitang as Deputy General Managers of the Company; and appoint Ms. Xu Xiaorui as Chief Financial Officer of the Company.

V. Appoint Ms. Lü Lianzhen as the Company’s Board Secretary.

The company’s three independent directors have approved the appointment of the aforementioned senior management personnel.

Attachment: Resumes of Relevant Senior Management Personnel

1. Mr. Zhang Hongzhi, 45 years old, holds a master’s degree and is a professor-level senior engineer. He previously served as the company’s Deputy General Manager. His career at the company includes positions as Product Designer, Deputy Director of the Chief Engineer’s Office, Chief Engineer, and Deputy General Manager.

2. Mr. Wang Dekun, 52, holds a junior college degree and is a senior political work specialist; he formerly served as the company’s Deputy General Manager. His previous positions include Deputy Director of a workshop, Director of the Import-Export Department, Deputy Secretary of the Party Committee, Chairman of the Trade Union, and Deputy General Manager.

3. Mr. Wang Zhiqiang, 42, holds a master’s degree and is a senior engineer; he formerly served as the company’s Deputy General Manager. He has held successive positions as product designer, deputy head of department, head of department, chief engineer, and deputy general manager.

4. Mr. Hu Xitang, 36, holds a master’s degree and is a senior engineer; he formerly served as the company’s Deputy General Manager. He has previously held the positions of Deputy Director of the Company’s Political Work Department, Secretary of the Commission for Discipline Inspection, Deputy Secretary of the Party Committee, and Deputy General Manager.

5. Ms. Lü Lianzhen, 50 years old, holds a junior college degree and is an economist; she formerly served as the Company’s Board Secretary. She has previously held the positions of Deputy Director and Director of the Company Office, as well as Board Secretary.
