Announcement of Resolutions Adopted at the First Meeting of the Third Session of the Board of Directors

The First Meeting of the Third Session of the Board of Directors of Dalian Refrigeration Co., Ltd. (“the Company”) was held on May 22, 2001, in the Company’s Sixth-Floor Conference Room. A total of 17 directors attended the meeting, thereby satisfying the statutory quorum required under the Company Law and the Company’s Articles of Association. The meeting was chaired by Mr. Zhang He, the former Chairman of the Board. At this meeting, the following resolutions were reviewed and adopted:

I. Elect Mr. Zhang He as Chairman of the Company and Mr. Mu Chuanjiang as Vice Chairman of the Company.

II. Elect Mr. Zhang He, Mr. Mu Chuanjiang, Mr. Zhang Hongzhi, Mr. Wang Dekun, Mr. Yu Shoutao, Mr. Wang Zhiqiang, Mr. Yang Bin, and Mr. Qiao Li as the Company’s Executive Directors.

III. Upon the nomination of Chairman Zhang He, Mr. Mu Chuanjiang is hereby appointed as the Company’s General Manager; Ms. Lü Lianzhen is hereby appointed as the Company’s Board Secretary.

IV. Upon the nomination of Mr. Mu Chuanjiang, General Manager of the Company, Mr. Zhang Hongzhi, Mr. Wang Dekun, Mr. Wang Zhiqiang, Mr. Yang Bin, Mr. Hu Xitang, and Mr. Ding Jie are hereby appointed as Deputy General Managers of the Company; Mr. Yu Shoutao is hereby appointed as Chief Financial Officer of the Company.
