Proposal on the Preliminary Plan for a Non-public Issuance of A Shares
Dear Shareholders:
In accordance with the Implementation Rules for Non-public Issuances of Shares by Listed Companies, any non-public issuance of shares by a listed company shall be preceded by the preparation of a Non-public Issuance Proposal in compliance with the requirements set forth in “Guideline No. 25 on the Content and Format of Information Disclosure by Companies Issuing Securities to the Public—Proposal for Non-public Issuance of Shares by Listed Companies and Report on the Results of the Issuance,” which shall be attached to the resolution of the board of directors and published concurrently with such resolution. Pursuant to the aforementioned requirements, and based on the Company’s plan for the non-public issuance of A-shares, the Company has prepared the “Proposal for the Non-public Issuance of A-shares.”
