 Report on the Election of New Directors 

 
	Dear Shareholders: 

	The term of the Company’s Fourth Board of Directors has now expired, necessitating the election of a new board. Following careful deliberation, the following list of candidates is hereby proposed: 
 
	Nominate Zhang He, Mu Chuanjiang, Yang Bin, Xu Junrao, Arima Hideyoshi, and Wang Weijie as candidates for non-independent directors on the Company’s Fifth Board of Directors; 
 
	Nominate Liu Caiping as a candidate for independent director on the Company’s Fifth Board of Directors. 
 
	The resumes of the aforementioned candidates are attached. 
 
	The above report is submitted for your review.

	Appendix 1: Biographical Sketches of Non-Independent Director Candidates for the Company’s Fifth Board of Directors 

	(1) Zhang He, male, 71 years old, former Chairman and professor-level senior engineer. He has successively held the positions of Deputy Chief Engineer, Plant Director, General Manager of the company, and Chairman. 
 
	(2) Mu Chuanjiang, male, 59 years old, former Vice Chairman and Senior Engineer. He has successively held the positions of Deputy Factory Director, Deputy General Manager of the company, General Manager, and Vice Chairman. 
 
	(3) Yang Bin, male, 52 years old, former director, holds a Master’s degree in Business Administration. Currently serves as the Company’s Executive Deputy General Manager. Previously held positions including Director of the Design Department, Head of the Business Planning Department, Assistant to the General Manager, and Deputy General Manager. 
 
	(4) Xu Junrao, female, 45 years old, former director and holder of a Master’s degree in Business Administration. Currently serves as the Company’s Chief Financial Officer. Previously held the positions of Deputy Director, Director, and Deputy Chief Accountant of the Company’s Finance Department. 
 
	(5) Masahide Umashu, male, 56, holds a master’s degree from Kobe University in Japan. He joined Sanyo Electric Co., Ltd. in 1977 and currently serves as Executive Vice President and Head of the Commercial Products Division at Sanyo Electric Co., Ltd. 
 
	(6) Wang Weijie, male, 46, accountant with a master’s degree. He has previously served as Assistant General Manager of the Shenzhen Branch of Guotai Junan Securities and as General Manager of the Finance Headquarters of Guotai Junan Securities. He currently holds the positions of Full-time Chairperson of the Asset–Liability Management Committee of Guotai Junan Securities and Chairperson of the Subsidiary Management Working Group. 

	Appendix 2: Biographical Sketches of Independent Director Candidates for the Company’s Fifth Board of Directors 
 
	(1) Liu Caiping, female, 54 years old, is a Certified Public Accountant and a senior accountant at the professor-researcher level. Since 2000, she has served as the Chief Accountant of Dalian Municipal Construction Holding Co., Ltd.
