Proposal Regarding the Fact that the Parties Involved in This Transaction Do Not Fall Under Any of the Circumstances Prohibited from Participating in Major Asset Restructurings of Listed Companies as Stipulated in Article 13 of “Regulatory Guidance No. 7 for Listed Companies—Supervision of Abnormal Stock Trading Related to Major Asset Restructurings of Listed Companies”

With respect to this transaction, none of the relevant parties as defined in Article 13 of “Regulatory Guidance No. 7 for Listed Companies—Supervision of Abnormal Stock Trading Related to Major Asset Restructuring of Listed Companies” has been subject to an investigation or criminal probe on suspicion of insider trading in connection with this transaction, nor has any such party been imposed administrative penalties by the China Securities Regulatory Commission or held criminally liable by judicial authorities for insider trading related to major asset restructuring within the past 36 months.
