Announcement of Resolutions Adopted at the Eighth Meeting of the Third Supervisory Board

The Third Session of the Supervisory Board of Dalian Refrigeration Co., Ltd. (“the Company”) held its Eighth Meeting on August 20, 2003, in the Company’s Fifth-Floor Conference Room. All three supervisors attended the meeting, which was chaired by Mr. Yu Fuchun, Chairman of the Supervisory Board. The following resolutions were reviewed and adopted at this meeting:

I. The Company’s 2003 Semi-Annual Report and Its Summary.

II. The Company’s 2003 Semi-Annual Profit Distribution Plan: No profit distribution will be made, nor will any capital reserve be capitalized to increase share capital.
