Announcement of Resolutions Adopted at the Eighth Meeting of the Fourth Supervisory Board

All members of the Company’s Supervisory Board hereby certify that the contents of this announcement are true, accurate, and complete, and that there are no false records, misleading statements, or material omissions.

The Fourth Session of the Supervisory Board of Dalian Refrigeration Co., Ltd. (“the Company”) held its Eighth Meeting on August 17, 2006, in the Company’s Fifth-Floor Conference Room. All three supervisors were in attendance. The meeting was chaired by Mr. Yu Fuchun, Chairman of the Supervisory Board. At this meeting, the following resolutions were reviewed and adopted:

I. The Company’s 2006 Interim Report and its Summary;

Approved: 3 votes; Opposed: 0 votes; Abstentions: 0 votes.

II. Written Review Comments on the 2006 Interim Report.

Approved: 3 votes; Opposed: 0 votes; Abstentions: 0 votes.

1. The preparation and review procedures for this interim report comply with applicable laws, regulations, the Company’s Articles of Association, and the Company’s various internal management systems.

2. The content and format of this interim report comply with all relevant regulations issued by the China Securities Regulatory Commission and the Shenzhen Stock Exchange, and the information contained herein accurately reflects the Company’s operating management and financial condition for the first half of 2006 from all material aspects.

3. Prior to the issuance of this interim report, no violations of confidentiality provisions were found among the personnel involved in the preparation and review of the interim report.
