Announcement of Resolutions Adopted at the 15th Meeting of the 9th Board of Directors

The Company and all members of the Board of Directors hereby certify that the contents of this announcement are true, accurate, and complete, and that there are no false records, misleading statements, or material omissions.

I. Status of Board Meetings

1. Notice of this Board of Directors meeting was issued in writing on June 20, 2023.

2. This board meeting was held on June 27, 2023, by way of written resolution.

3. Nine directors were required to vote, and all nine directors actually voted.

4. The convening of this board meeting complies with the provisions of applicable laws, administrative regulations, departmental rules, normative documents, and the Company’s Articles of Association.

II. Review of the Board Meeting

1. Proposal on Applying to Banks for M&A Loans by Pledging Acquired Equity

Following the completion of the industrial and commercial registration for the company’s acquisition of equity in Bingshan Songyang Refrigeration (Dalian) Co., Ltd. (“Songyang Refrigeration”), and in light of the merger-and-acquisition loan offerings from various banks, the company will, in order to reduce financing costs, apply to banks for an M&A loan by pledging the acquired equity as collateral. The details are as follows:

The Company has applied to the Dalian Chunliu Branch of Industrial and Commercial Bank of China Limited for a merger and acquisition loan not exceeding RMB 87 million, with a term of no more than seven years, and has provided a pledge guarantee over its 100% equity interest in Songyang Refrigeration.

Approval: 9 votes; Opposition: 0 votes; Abstention: 0 votes.

For detailed information on the aforementioned proposal, please refer to the Company’s “Announcement on Applying to Banks for M&A Loans by Pledging Equity in Connection with an M&A Transaction,” which was disclosed on the same day in the China Securities Journal and on the CNINFO website (http://www.cninfo.com.cn).
