Announcement of Resolutions Adopted at the 2024 Annual General Meeting

Special Note : No proposals were added, rejected, or amended at this shareholders’ meeting, nor were any resolutions passed at previous shareholders’ meetings altered.
I. Convening and Attendance of the Meeting
(1) Status of the Meeting
1. Date and Time of the Meeting
On-site Meeting: Thursday, May 22, 2025, at 3:00 PM
Online voting: May 22, 2025. Among them:
(1) The specific time periods for online voting via the Shenzhen Stock Exchange trading system are: 9:15–9:25 a.m., 9:30 a.m.–11:30 a.m., and 1:00–3:00 p.m. on May 22, 2025.
(2) The specific time period for online voting via the Shenzhen Stock Exchange’s Internet Voting System is any time between 9:15 a.m. and 3:00 p.m. on May 22, 2025.
2. Venue for the on-site meeting: the Company’s conference room.
3. Voting Method: A combination of in-person voting at the meeting and online voting.
4. Convenor: The Company’s Board of Directors
5. Host: Ji Zhijian
6. The convening of the meeting complies with the provisions of applicable laws, administrative regulations, departmental rules, normative documents, and the Company’s Articles of Association.
The notice convening this meeting was published in the China Securities Journal and the Securities Times on April 24, 2025.

1. Overall Attendance at the Meeting
A total of 335 shareholders and their proxies attended the meeting, representing 252,098,054 shares with voting rights, or 29.90% of the company’s total outstanding shares with voting rights of 843,212,507.
Among them:
A total of seven shareholders and their proxies attended the on-site meeting, representing 246,677,214 shares with voting rights, or 29.26% of the company’s total outstanding shares with voting rights of 843,212,507.
A total of 328 shareholders and their proxies attended the meeting via online voting, representing 5,420,840 shares with voting rights, or 0.64% of the company’s total outstanding shares with voting rights of 843,212,507.
2. Attendance of A-share Shareholders
A total of 328 A-share shareholders and their proxies attended the meeting, representing 177,061,354 shares with voting rights, or 29.42% of the company’s total 601,712,507 A-share voting shares.
Among them:
A total of five A-share shareholders and their proxies attended the on-site meeting, representing 173,066,064 shares with voting rights, or 28.76% of the company’s total 601,712,507 A-share voting shares.
A total of 323 A-share shareholders and their proxies attended the meeting via online voting, representing 3,995,290 shares with voting rights, or 0.66% of the company’s total outstanding A-share voting shares of 601,712,507.
3. Attendance of B-share Holders
A total of seven B-share shareholders and their proxies attended the meeting, representing 75,036,700 voting shares, or 31.07% of the company’s total 241,500,000 voting B-shares.
Among them:
A total of two B-share shareholders and their proxies attended the on-site meeting, holding 73,611,150 voting rights.
shares, representing 30.48% of the total number of voting shares held by the Company’s B-share shareholders, which amounts to 241,500,000 shares.
A total of five B-share shareholders and their proxies attended the meeting via online voting, representing 1,425,550 shares with voting rights, or 0.59% of the company’s total 241,500,000 B-share shares entitled to vote.
4. Attendance of Other Personnel
The company’s directors, supervisors, senior management personnel, and the witnessing attorney attended the meeting.
II. Status of Review and Voting on Proposals
(1) Voting Method for Proposals: Proposals at this shareholders’ meeting will be voted on through a combination of in-person voting and online voting.
(2) The shareholders and their proxies attending this shareholders’ meeting deliberated the agenda items and, following a roll-call vote on each item, adopted the following resolutions:

3. Concluding Opinion:
“The firm’s counsel is of the opinion that the convening and conduct of the Company’s current shareholders’ meeting comply with the provisions of the Company Law, the Rules of the Shareholders’ Meeting, the Detailed Rules on Online Voting, and other applicable laws, regulations, normative documents, and the Company’s Articles of Association; that the qualifications of the attendees and the convener of the meeting are lawful and valid; and that the voting procedures and voting results of the meeting are lawful and valid.”
